Acceptance of Terms
By accessing or using Marketplace Profile at marketplaceprofile.com (the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) in their entirety. These Terms constitute a legally binding agreement between you and Marketplace Profile (“we,” “us,” or “our”).
If you are accessing the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must discontinue use of the Platform immediately.
Use of the Platform
Marketplace Profile is a global B2B directory designed to connect manufacturers, suppliers, and buyers worldwide. Access to the Platform is provided for legitimate commercial research, sourcing, and business development purposes only. You agree to use the Platform solely in a manner consistent with these Terms and all applicable local, national, and international laws and regulations.
We reserve the right to suspend or permanently terminate access for any user or organization that, in our sole discretion, violates these Terms, engages in conduct harmful to the integrity of the Platform, or otherwise uses the Platform in a manner inconsistent with its intended purpose.
Prohibited Conduct
When using the Platform, you agree not to engage in any of the following activities: scraping, crawling, or systematically harvesting company data or contact information through automated means without our express written permission; submitting false, misleading, or fraudulent business information; impersonating another company, individual, or entity; attempting to gain unauthorized access to any portion of the Platform or its underlying infrastructure; using the Platform to distribute unsolicited commercial communications or spam; or engaging in any activity that could damage, disable, overburden, or impair the Platform’s performance or availability.
We also prohibit the use of data obtained from this Platform to build competing directories, databases, or products without prior written authorization. Violation of these prohibitions may result in immediate termination of access and, where applicable, legal action.
Content Submission
Companies and representatives who submit information for publication on Marketplace Profile (“Submitted Content”) represent and warrant that they are authorized to submit such content, that the content is accurate and not misleading, and that it does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
By submitting content to the Platform, you grant Marketplace Profile a limited, worldwide license without royalty to display, reproduce, and distribute that content solely for the purpose of operating and promoting the Platform. We reserve the right to review, edit, or remove any Submitted Content at our discretion and without prior notice.
Platform Integrity
Marketplace Profile is committed to maintaining the accuracy and trustworthiness of the business information published on the Platform. While we make reasonable efforts to verify the legitimacy of listed companies, we do not independently audit or certify the products, services, capabilities, or claims made by any listed business. Buyers and sourcing professionals are encouraged to conduct their own due diligence prior to entering into any commercial relationship.
Unless expressly stated otherwise, Marketplace Profile is not affiliated with, sponsored by, endorsed by, or acting as an agent for any third party content provider or listed company.
Intellectual Property
All trademarks, company names, logos, product images, and slogans associated with listed businesses remain the exclusive property of their respective owners. The Marketplace Profile name, logo, platform design, and proprietary content are the intellectual property of Marketplace Profile and may not be copied, reproduced, or used without express written permission.
While we make reasonable efforts to source accurate and reliable information, we do not guarantee the completeness or accuracy of any third party content and shall not be held responsible for any disputes, claims, or damages arising from reliance on such content. We also assume no liability for technical issues, service interruptions, or damages that may occur while accessing or downloading content from the Platform.
Disclaimer of Warranties
The Platform and all content, information, and services provided through it are offered on an “as is” and “as available” basis, without warranties of any kind, either express or implied. Marketplace Profile expressly disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and freedom from infringement.
We do not warrant that the Platform will be uninterrupted, free of errors, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content, listing, or information published on the Platform, whether submitted by third parties or otherwise.
Limitation of Liability
To the fullest extent permitted by applicable law, Marketplace Profile and its operators, affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your access to or use of the Platform, including but not limited to loss of revenue, loss of data, loss of business opportunity, or reputational harm, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of the amount you paid to access the Platform in the twelve months preceding the claim or one hundred Canadian dollars (CAD $100).
Privacy
The collection, use, and protection of information in connection with your use of the Platform is governed by our Privacy Policy, which is incorporated into and forms part of these Terms of Service. By using the Platform, you acknowledge and agree to the practices described in the Privacy Policy.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from the remaining Terms and shall not affect the validity and enforceability of the remaining provisions.
Changes to These Terms
Marketplace Profile reserves the right to update or modify these Terms of Service at any time and at our sole discretion. When material changes are made, we will update the “Last updated” date at the bottom of this page. Your continued use of the Platform following the posting of any changes constitutes your acknowledgment and acceptance of the revised Terms.
